These Terms and Conditions ("Terms") govern your access to and use of our website www.everdots.in ("Site") and our services. By accessing or using our Site or services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Site or services.

1. Services

Everdots provides a range of digital marketing and website development services, including but not limited to SEO, social media management, and related consulting. The specific scope of work, deliverables, timelines, and pricing for any engagement will be detailed in a separate service agreement or proposal executed between Everdots and the client. These Terms shall supplement any such service agreement, and in case of any conflict, the terms of the service agreement shall prevail.

2. Eligibility

By using our Site or engaging our services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding contract. If you are accessing or using our services on behalf of a legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Client Responsibilities

As a client engaging with Everdots, you agree to:

  • Provide accurate, complete, and timely information and materials as reasonably required for the provision of services.
  • Ensure that you have all necessary rights, licenses, and permissions for any content, including text, images, logos, and other materials, provided to Everdots for use in the services.
  • Make timely payments for services rendered as per the terms outlined in the applicable service agreement.

4. Payment Terms

Payment obligations for services shall be set forth in the individual service agreement. Unless otherwise specified, invoices are due upon receipt. Late payments may be subject to a late fee calculated at 1.5% per month on the outstanding balance, or the maximum rate permitted by applicable law, whichever is lower. All payments made for services are non-refundable, except as expressly provided otherwise in the service agreement.

5. Intellectual Property

Client Content: Any content, materials, or intellectual property provided by you to Everdots for the purpose of receiving services shall remain your property. You grant Everdots a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of providing the agreed-upon services.

Everdots Content: All intellectual property rights in and to the designs, code, graphics, methodologies, and other materials created by Everdots during the provision of services shall remain the property of Everdots until full and final payment for the relevant services has been received. Upon receipt of full payment, ownership of the final deliverables specifically outlined in the service agreement may be transferred to the client, as specified therein.

6. Confidentiality

Both parties agree to treat all non-public information shared during the course of the engagement as confidential. This includes, but is not limited to, business plans, technical data, pricing strategies, and client information. Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing party, except as required by law or to legal and financial advisors under a duty of confidentiality. This obligation of confidentiality shall survive the termination of the service agreement.

7. Termination

Either party may terminate a service agreement as per the terms and conditions stipulated within that specific agreement. In the event of termination, the client shall be liable for payment for all services rendered up to the effective date of termination.

8. Limitation of Liability

To the maximum extent permitted by law, Everdots shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Site or services; (b) any conduct or content of any third party on the Site; (c) any content obtained from the Site or services; or (d) unauthorized access, use, or alteration of your transmissions or content.

The total aggregate liability of Everdots to you for any and all claims arising out of or in connection with these Terms or the services shall not exceed the amount paid by you to Everdots for the specific service giving rise to the claim in the three (3) months preceding the date the claim arose.

9. Indemnification

You agree to indemnify, defend, and hold harmless Everdots, its officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to (a) your breach of these Terms; (b) your misuse of our Site or services; (c) your violation of any rights of a third party, including intellectual property rights; or (d) your violation of any applicable law or regulation.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the services shall be subject to the exclusive jurisdiction of the courts located in Kolkata, West Bengal. The parties agree to attempt to resolve any dispute through good faith negotiation and mediation before initiating any legal action.

11. Amendments

We reserve the right to modify or update these Terms at any time, effective upon posting the revised Terms on the Site. Your continued use of our Site or services after the posting of the revised Terms constitutes your acceptance of the changes.
